The Revised Uniform Limited Liability Company Act (Iowa Code Chapter 489) became effective January 1, 2009. All new limited liability company formations and authorizations will be governed by this new Act.
489 DOMESTIC LIMITED LIABILITY COMPANIES
489 DOMESTIC PROFESSIONAL LIMITED LIABILITY COMPANIES
A limited liability company is created by filing a Certificate of Organization with the Secretary of State.
489 Limited Liability Companies Certificate of Organization - Minimum Requirements
Must set forth the following:
- A name for the limited liability company that satisfies the requirements of section 489.108.
- The street address of the limited liability company's initial registered office and the name of its initial registered agent at that office.
- The certificate of organization must be signed by an organizer.
- The filing fee pursuant to 489.117 is $50.00.
489 Professional Limited Liability Companies Certificate of Organization - Minimum Requirements
Must set forth the following:
- A name for the limited liability company that satisfies the requirements of section 489.108 and 489.1103.
- The street address of the limited liability company's initial registered office and the name of its initial registered agent at that office.
- The certificate of organization must be signed by an organizer.
- The certificate must include a purpose as required by 489.1102. and 489.110(4).
- The filing fee pursuant to 489.117 is $50.00.
489 FOREIGN LIMITED LIABILITY COMPANIES
489 FOREIGN PROFESSIONAL LIMITED LIABILITY COMPANIES
If a limited liabiilty company currently exists under the laws of another state but wants to transact business in Iowa, the limited liability company may, pursuant to 489.802., apply for a Certificate of Authority from the Secretary of State.
